1. Introduction
These Business Terms and Conditions ("Terms") govern your access to and use of the Pasfleet Applicant Tracking System and related services. By accessing or using our services, you agree to be bound by these Terms.
This agreement is made under the laws of Spain and incorporates our Privacy Policy, Data Processing Agreement (DPA), and Cookie Policy by reference. Please review all documents carefully before using the Service.

By registering for an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and all referenced policies.
2. Definitions
In these Terms, the following definitions apply:
• "Service" means the Pasfleet ATS platform, software, and related services provided through pasfleet.com and associated domains.
• "User" means any individual accessing the Service with authorized credentials.
• "Customer" means the organization or company that has subscribed to the Service and entered into this agreement with Pasfleet.
• "Data" means all data uploaded to, processed by, or generated within the Service, including candidate data, job postings, and analytics.
• "Agreement" means these Terms together with any applicable service agreements, order forms, Privacy Policy, and Data Processing Agreement.
• "Personal Data" means any information relating to an identified or identifiable natural person as defined in the GDPR (EU Regulation 2016/679).
• "Subscription" means the recurring fee-based access to the Service under a specified plan tier (monthly or annual billing).
• "Credits" means prepaid units purchased separately from subscriptions and used to access premium features.
• "Billing Cycle" means the recurring period for which subscription fees are charged (monthly or annually).
• "Platform" means the software-as-a-service platform accessible at pasfleet.com and related domains.
• "Third-Party Services" means external services integrated with the Platform, including job boards and recruitment tools.
• "Customer Content" means all content uploaded or created by you within the Service, including job postings, candidate data, and notes.
3. Scope of Services
These Business Terms and Conditions ("Terms") govern your access to and use of the Pasfleet Applicant Tracking System available at pasfleet.com and related services ("Platform" or "Service"). This agreement is binding between Pasfleet ("Pasfleet", "we", "us", or "our") and companies or organizations using the Platform ("Customer", "you", or "your").
By registering for an account or accessing the Service, you represent and warrant that: (i) you are authorized to bind your organization to these Terms; (ii) you are not prohibited from using the Service under applicable Spanish or European Union law; and (iii) you will comply with all applicable laws and regulations in your use of the Service.
Automated account registration, bulk registration, or use of bots for account creation is strictly prohibited. Pasfleet reserves the right to reject or terminate accounts created through automated means without notice.
Service Availability
Pasfleet will use commercially reasonable efforts to maintain Service availability and performance. We provide regular maintenance which may cause temporary Service interruptions. Where possible, we will provide advance notice of planned maintenance through email notification or Platform announcements.
Service Rights and Modifications
Pasfleet may add, remove, or modify Service features with thirty (30) days' advance notice for material changes affecting core functionality. Non-material improvements and updates may be implemented without notice. Continued use of the Service after modification constitutes acceptance of the changes.
We reserve the right to suspend or restrict access to the Service immediately upon reasonable suspicion of: (i) illegal activity; (ii) fraudulent use; (iii) security threats; (iv) material breach of these Terms; or (v) activity that may harm our systems or other users. Suspension does not relieve payment obligations for the subscription period.
Third-Party Services
The Platform may integrate with third-party services including job boards, background check providers, and other recruitment tools ("Third-Party Services"). Pasfleet acts solely as a technical provider facilitating these integrations and is not responsible for: (i) Third-Party Service availability, accuracy, or performance; (ii) compliance with Third-Party Service terms and conditions; (iii) data processing by Third-Party Service providers; or (iv) fees charged by Third-Party Services.
You acknowledge and agree that your use of Third-Party Services is governed by their respective terms and conditions, and you assume full responsibility for compliance therewith. Pasfleet may discontinue Third-Party Service integrations at any time with reasonable notice where feasible.
4. Registration and Account Security
Eligibility
Only companies, organizations, or their authorized representatives conducting commercial or professional recruiting activities may register for the Service. Registration using personal email addresses (e.g., Gmail, Outlook) is not permitted; you must use a company email address.
Pasfleet reserves the right to verify registration information and may reject registrations without providing reasons. By registering, you represent and warrant that all information provided is accurate, current, and complete.
Account Security
You are responsible for maintaining the confidentiality of your account credentials (username and password). You must:
• Create strong passwords and change them regularly • Not share account credentials with unauthorized individuals • Implement appropriate access controls for multi-user accounts • Monitor account activity for unauthorized access • Notify Pasfleet immediately at support@pasfleet.com if you suspect account compromise or unauthorized use
You are liable for all activity occurring under your account, whether authorized or unauthorized, until you notify us of suspected compromise. Pasfleet is not liable for losses resulting from unauthorized account access due to your failure to maintain credential security.
Multi-User Access
Subscription plans may include multiple user seats. You are responsible for managing user permissions and ensuring that all users comply with these Terms. When a user's access should be revoked (e.g., employee termination), you must promptly remove their account access.
Account Verification
Pasfleet may request additional verification documentation to confirm your organization's legitimacy, including but not limited to: business registration documents, proof of address, or identity verification of account administrators. Failure to provide requested documentation within fifteen (15) days may result in account suspension.
5. Services and Features
Platform Features
The Pasfleet Platform provides applicant tracking and recruitment management features including, but not limited to:
• Candidate database management and search functionality • Job posting creation and multi-channel distribution • Application tracking and candidate pipeline management • AI-powered candidate scoring and matching • Interview scheduling and collaboration tools • Reporting and analytics dashboards • Integration with job boards and Third-Party Services
Specific features and functionality depend on your selected subscription tier and may vary. Feature availability is subject to change as described in Section 3 (Scope).
Subscription Tiers and Credits
Pasfleet offers subscription-based access to the Platform with optional credit packages for premium features:
Subscription Model: Monthly or annual subscriptions provide access to core Platform features according to the selected plan tier. Subscription features and user seat allocations are described on our website and in your service agreement.
Credits System: Certain premium features (e.g., featured job postings, advanced job board integrations, additional candidate exports) are purchased using credits. Credits are sold in packages, are non-refundable, and expire twelve (12) months from the purchase date unless otherwise specified. Unused credits cannot be exchanged for monetary value or transferred between accounts.
Customer Obligations
You agree to:
• Provide accurate and lawful job posting content • Ensure all candidate data is collected lawfully with appropriate consent • Comply with employment laws, anti-discrimination laws, and data protection regulations • Use the Service solely for legitimate recruitment purposes • Maintain current and accurate company information • Not exceed reasonable usage limits or place unreasonable load on Platform infrastructure • Cooperate with Pasfleet in Service provision and support
Prohibited Uses
You must not:
• Circumvent or attempt to bypass Platform security measures or access controls • Use the Service for illegal, fraudulent, or unauthorized purposes • Post content that is unlawful, discriminatory, defamatory, or infringes third-party rights • Publish job postings containing false information or misleading terms • Use the Service to advertise non-recruitment goods or services • Engage in multi-level marketing or pyramid schemes • Collect or harvest user data without authorization • Create duplicate accounts or attempt to manipulate Platform features • Reverse engineer, decompile, or create derivative works of the Platform • Resell, sublicense, or provide Service access to third parties without authorization • Use automated systems (bots, scrapers) to access or extract Platform data • Introduce malware, viruses, or harmful code to the Platform
6. Fees and Payment
Subscription Fees
Subscription fees are displayed on the Platform and in your service agreement. All fees are stated exclusive of applicable taxes (VAT, GST, or other sales taxes), which will be added to invoices where required by law.
Payment Methods and Billing
Pasfleet accepts payment via credit card, debit card, and direct debit (SEPA for European customers). By providing payment information, you authorize Pasfleet to charge subscription fees automatically according to your selected billing cycle (monthly or annual).
Monthly Subscriptions: Billed automatically on the same day each month. Payment is due immediately upon billing.
Annual Subscriptions: Billed automatically on the anniversary of your subscription start date. Payment is due immediately upon billing.
Automatic Renewal
Subscriptions automatically renew for successive periods of the same duration unless you cancel at least thirty (30) days before the end of the current billing period. You can cancel your subscription through your account settings or by contacting support@pasfleet.com.
Payment Failure
If automatic payment fails, we will attempt to charge your payment method up to three (3) times over a ten (10) day period. If payment remains unsuccessful after three attempts:
• Your access to the Service may be suspended • You remain liable for all outstanding fees • A payment failure fee of €25 may be assessed • Your account may be referred to collections
Credits and Premium Features
Credits are purchased separately from subscriptions in packages with pricing displayed on the Platform. Credits:
• Are valid for twelve (12) months from purchase date • Cannot be refunded or exchanged for monetary value • Cannot be transferred to other accounts • Expire automatically after the validity period • Are deducted from your account when premium features are used
You can view your current credit balance in your account dashboard.
Price Changes
Pasfleet may modify subscription prices with sixty (60) days' advance notice via email to your account email address. Price changes apply to subscription renewals following the notice period. If you do not accept a price increase, you may cancel your subscription before the renewal date to avoid the new pricing.
Credit package prices may be modified without notice. Current prices are always displayed on the Platform.
Refund Policy
Subscriptions: • Monthly subscriptions: No refunds for partial months. You may cancel to prevent future charges. • Annual subscriptions: Pro-rata refunds available if cancelled within thirty (30) days of annual billing and less than 20% of features have been used. After 30 days, no refunds are provided.
Credits: No refunds under any circumstances. Unused credits remain available until expiration.
Taxes
You are responsible for all applicable taxes on fees paid to Pasfleet, except taxes based on Pasfleet's income. If you are required to withhold taxes from payments to Pasfleet, you must provide appropriate tax documentation.
Late Payment
Late payments may be subject to suspension of Service access. You agree to reimburse Pasfleet for all reasonable collection costs incurred, including legal fees.
7. Intellectual Property Rights
Pasfleet Intellectual Property
The Platform, including all software, algorithms, user interfaces, designs, text, graphics, logos, trademarks, and other content provided by Pasfleet ("Pasfleet IP"), is owned by Pasfleet or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
All rights, title, and interest in Pasfleet IP remain exclusively with Pasfleet. These Terms do not transfer any ownership rights to you.
License to Customer
Subject to your compliance with these Terms and payment of applicable fees, Pasfleet grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your internal business purposes during the subscription term.
You may not:
• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, or create derivative works from Pasfleet IP • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Platform • Remove, alter, or obscure any copyright, trademark, or other proprietary notices • Use Pasfleet trademarks, logos, or branding without prior written permission
Customer Content License
You retain all ownership rights in content you upload to the Platform ("Customer Content"), including job postings, candidate data, notes, and attachments.
By uploading Customer Content, you grant Pasfleet a non-exclusive, worldwide, royalty-free, sublicensable license to use, process, store, transmit, and display Customer Content solely to:
• Provide the Service to you • Improve and develop Platform features and functionality • Generate anonymized, aggregated analytics and insights • Comply with legal obligations
Pasfleet may modify Customer Content for technical purposes, including resizing images, converting formats, and optimizing for performance. We will not make editorial changes to text content without your authorization.
Anonymized Data
Pasfleet may collect, use, and disclose anonymized and aggregated data derived from Platform usage for business purposes including research, analytics, benchmarking, and marketing. Anonymized data does not identify you or any individual and is Pasfleet's exclusive property.
Feedback
If you provide suggestions, ideas, or feedback about the Platform ("Feedback"), you grant Pasfleet a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate Feedback into the Platform without any obligation to you.
Open Source Software
The Platform may include open-source software components subject to separate license terms. These components are governed by their respective open-source licenses, which are available upon request. To the extent required by open-source licenses, those terms shall prevail over conflicting provisions in these Terms.
DMCA and Copyright Infringement
If you believe content on the Platform infringes your copyright, please contact legal@pasfleet.com with:
• Description of the copyrighted work • Location of the allegedly infringing material • Your contact information • Statement of good faith belief • Statement of accuracy under penalty of perjury • Physical or electronic signature
8. Data Protection and Privacy
Pasfleet is committed to protecting personal data in accordance with the General Data Protection Regulation (GDPR - EU Regulation 2016/679) and applicable Spanish data protection laws.
Roles and Responsibilities
For the purposes of providing the Service:
• You (Customer) act as the Data Controller for candidate personal data and determine the purposes and means of data processing.
• Pasfleet acts as the Data Processor, processing personal data solely on your behalf and in accordance with your documented instructions.
The relationship between Data Controller and Data Processor is governed by our Data Processing Agreement (DPA), available at pasfleet.com/legal/data-processing-agreement.
Data Processing Principles
Pasfleet processes personal data in accordance with GDPR principles:
• Lawfulness, fairness, and transparency: Processing only with appropriate legal basis and with clear notice to data subjects • Purpose limitation: Processing only for specified, legitimate purposes • Data minimization: Collecting only data necessary for the stated purposes • Accuracy: Maintaining accurate and up-to-date data • Storage limitation: Retaining data only as long as necessary • Integrity and confidentiality: Implementing appropriate security measures • Accountability: Demonstrating compliance with data protection obligations
Legal Basis for Processing
We process personal data under the following legal bases:
• Contract performance: Processing necessary to provide the Service to you • Legal obligation: Processing required to comply with applicable laws • Legitimate interests: Processing for fraud prevention, security, and service improvement • Consent: Where explicitly obtained for specific processing activities
Your Obligations as Data Controller
As Data Controller, you must:
• Obtain appropriate legal basis (consent, legitimate interest, etc.) for collecting and processing candidate data • Provide clear privacy notices to candidates explaining data collection and use • Ensure candidates' rights (access, rectification, erasure, etc.) can be exercised • Only upload data you are legally authorized to process • Implement appropriate security measures for candidate data • Notify Pasfleet immediately of any data breaches or security incidents • Comply with all applicable data protection laws and regulations
Security Measures
Pasfleet implements appropriate technical and organizational security measures to protect personal data, including:
• Encryption of data in transit (TLS 1.3) and at rest (AES-256) • Access controls and authentication mechanisms • Regular security audits and vulnerability assessments • Employee training on data protection and security • Incident response and data breach procedures • Business continuity and disaster recovery plans
Detailed security measures are described in Annex II of our Data Processing Agreement.
Data Subject Rights
We will assist you in responding to data subject requests to exercise their rights under GDPR, including:
• Right of access to personal data • Right to rectification of inaccurate data • Right to erasure ("right to be forgotten") • Right to restriction of processing • Right to data portability • Right to object to processing • Rights related to automated decision-making and profiling

Sub-Processors
Pasfleet may engage sub-processors to assist in providing the Service. A current list of sub-processors is available in our Data Processing Agreement. We will notify you at least thirty (30) days in advance of adding new sub-processors, and you may object to such changes.
International Data Transfers
If personal data is transferred outside the European Economic Area (EEA), we ensure appropriate safeguards are in place, including:
• EU Standard Contractual Clauses (SCCs) • Adequacy decisions by the European Commission • Other legally recognized transfer mechanisms
Data Breach Notification
In the event of a personal data breach affecting data processed on your behalf, Pasfleet will:
• Notify you without undue delay and within 72 hours of becoming aware of the breach • Provide information about the nature, scope, and potential consequences of the breach • Describe measures taken or proposed to address the breach and mitigate harm • Cooperate with you to meet regulatory notification requirements
Data Retention and Deletion
Personal data is retained only as long as necessary for the purposes for which it was collected or as required by law. Upon termination of the Service:
• You have thirty (30) days to export your data • After 30 days, we will securely delete all Customer Content and personal data • Certain data may be retained in anonymized form for analytics or as required by law

9. Warranties and Disclaimers
Service Provision
Pasfleet provides the Service with commercially reasonable skill and care. We will use reasonable efforts to:
• Maintain Service availability and performance • Implement appropriate security measures • Provide customer support during business hours • Fix critical bugs and security vulnerabilities
However, Pasfleet does not guarantee uninterrupted, error-free, or completely secure Service operation.
"AS IS" and "AS AVAILABLE" Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PASFLEET DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
• Warranties of merchantability, fitness for a particular purpose, and non-infringement • Warranties that the Service will meet your requirements or expectations • Warranties regarding the accuracy, reliability, or completeness of Service content • Warranties that defects will be corrected or that the Service will be error-free • Warranties regarding Third-Party Services or integrations
No Guarantee of Results
Pasfleet provides tools to facilitate recruitment processes but does not guarantee hiring outcomes, candidate quality, or job posting performance. The success of your recruiting efforts depends on many factors outside Pasfleet's control.
Third-Party Services Disclaimer
Pasfleet is not responsible for Third-Party Services integrated with the Platform. We make no representations or warranties regarding:
• Third-Party Service availability, functionality, or compatibility • Accuracy or completeness of data from Third-Party Services • Third-Party Service compliance with applicable laws • Actions or omissions of Third-Party Service providers
Maintenance and Downtime
Planned maintenance may cause temporary Service unavailability. We will provide reasonable advance notice when feasible. Emergency maintenance may be performed without notice to address security vulnerabilities or critical system issues.
No Liability for Content
Pasfleet is not responsible for reviewing or monitoring Customer Content for accuracy, legality, or compliance with applicable laws. You are solely responsible for ensuring that your job postings, candidate communications, and data processing comply with employment law, anti-discrimination law, data protection law, and other applicable regulations.
Statutory Rights
Nothing in these Terms excludes or limits warranties or conditions implied by law where such exclusion or limitation is prohibited. If you are a consumer (not acting in a commercial capacity), you may have additional statutory rights under applicable consumer protection laws that cannot be waived or limited by these Terms.
10. Limitation of Liability
Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY SPANISH LAW, PASFLEET'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO PASFLEET DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PASFLEET SHALL NOT BE LIABLE FOR:
• Loss of profits, revenue, business opportunities, or anticipated savings • Loss of data (subject to our data processing commitments in the DPA) • Loss of goodwill or reputation • Indirect, incidental, special, consequential, punitive, or exemplary damages • Damages arising from Third-Party Services or integrations • Damages resulting from your failure to maintain data backups • Damages caused by unauthorized access to your account due to your negligence
These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Pasfleet has been advised of the possibility of such damages.
Exceptions to Limitations
Nothing in these Terms shall limit or exclude liability for:
• Death or personal injury caused by negligence • Fraud or fraudulent misrepresentation • Breach of statutory rights that cannot be excluded or limited under Spanish law • Gross negligence or willful misconduct • Liabilities that cannot be excluded or limited under applicable law
Customer Indemnification
You agree to defend, indemnify, and hold harmless Pasfleet, its affiliates, officers, directors, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
• Your use or misuse of the Service • Your violation of these Terms or applicable laws • Your Customer Content or job postings • Infringement of third-party intellectual property rights by Customer Content • Employment claims or discrimination claims related to your recruiting practices • Your violation of data protection laws or candidate privacy rights • Negligent or wrongful acts or omissions by you or your employees
We will notify you promptly of any claim requiring indemnification and give you reasonable cooperation in the defense. You may not settle any claim without our prior written consent if the settlement imposes obligations on Pasfleet.
Allocation of Risk
The limitation of liability provisions reflect the allocation of risk between the parties. The pricing and terms of the Service reflect this allocation and the limitations. Some jurisdictions do not allow limitation of certain damages, so some limitations may not apply to you.
Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including: natural disasters, war, terrorism, riots, labor disputes, governmental actions, internet or telecommunications failures, or other force majeure events. The affected party must provide prompt notice and make reasonable efforts to resume performance.
11. Termination
Termination by Customer
You may terminate your subscription at any time by:
• Canceling through your account settings at least thirty (30) days before your renewal date, or • Sending written notice to support@pasfleet.com at least thirty (30) days before your renewal date
Termination takes effect at the end of your current billing period. You remain responsible for fees through the end of the billing period, and no refunds will be provided for early termination except as specified in Section 6 (Fees and Payment).
Account Deletion
You may request account deletion by emailing support@pasfleet.com. Account deletion does not automatically terminate your subscription or eliminate outstanding payment obligations. You must cancel your subscription separately to avoid continued billing.
Upon account deletion:
• You will have thirty (30) days to export your Customer Content and candidate data • After 30 days, all Customer Content will be permanently deleted and cannot be recovered • Certain data may be retained as required by law or for legitimate business purposes (see Privacy Policy) • You will lose access to all Service features immediately upon deletion
Termination by Pasfleet for Cause
Pasfleet may suspend or terminate your access to the Service immediately without refund if:
• You materially breach these Terms and fail to cure within ten (10) days of written notice • Payment is more than thirty (30) days overdue • You engage in illegal activity, fraud, or abuse of the Service • You pose a security risk to the Platform or other users • Your account is inactive for more than twelve (12) months without active subscription • We are required to terminate access by law or court order
We will provide notice of termination where legally permissible and practically feasible.
Termination for Convenience
Pasfleet may terminate these Terms for any reason with ninety (90) days' advance written notice. In such case, you will receive a pro-rata refund of prepaid fees for the unused portion of your subscription term.
Effect of Termination
Upon termination of the Service for any reason:
• Your license to access and use the Service terminates immediately • You must cease all use of the Platform and Pasfleet IP • All outstanding fees become immediately due and payable • You have thirty (30) days to export your Customer Content before permanent deletion • Pasfleet may delete your account and Customer Content after the 30-day period
Survival
The following provisions survive termination: Fees and Payment (for amounts owed), Intellectual Property Rights, Confidentiality and Privacy, Limitation of Liability, Indemnification, and Governing Law.
No Liability for Termination
Except as expressly provided in Section 10 (Limitation of Liability), Pasfleet shall not be liable for any damages resulting from suspension or termination of the Service, including loss of access to Customer Content (provided you were given reasonable opportunity to export data).
12. Governing Law and Dispute Resolution
Governing Law
These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the substantive laws of Spain, without regard to its conflicts of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Jurisdiction and Venue
You and Pasfleet agree to submit to the exclusive jurisdiction of the courts of Madrid, Spain for resolution of any disputes arising from these Terms. Notwithstanding this, Pasfleet may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
Dispute Resolution Process
Before initiating formal legal proceedings, the parties agree to attempt good-faith negotiation to resolve disputes:
- Either party may initiate negotiation by sending written notice describing the dispute to the other party
- Representatives with authority to settle the dispute shall meet (in person or virtually) within thirty (30) days of the notice
- If negotiation does not resolve the dispute within sixty (60) days, either party may pursue formal legal proceedings
Entire Agreement
These Terms, together with the Privacy Policy, Data Processing Agreement (DPA), and any applicable service agreements or order forms, constitute the entire agreement between you and Pasfleet regarding the Service and supersede all prior or contemporaneous communications, agreements, or understandings, whether written or oral.
In the event of conflict between these Terms and other documents, the order of precedence is: (1) Data Processing Agreement (DPA); (2) Service Agreement or Order Form; (3) these Business Terms and Conditions; (4) Privacy Policy.
Amendments
Pasfleet may modify these Terms from time to time. We will notify you of material changes by:
• Email to your registered account email address at least thirty (30) days before the changes take effect, or • Prominent notice on the Platform
Your continued use of the Service after the effective date of modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must cancel your subscription before the effective date.

All notices under these Terms must be in writing and delivered:

Notices are deemed received: (i) when delivered by email (if no delivery failure notice is received); (ii) when posted on the Platform.
Assignment
You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without Pasfleet's prior written consent. Any attempted assignment without consent is void.
Pasfleet may freely assign these Terms and all rights and obligations to: (i) an affiliate; (ii) a successor in connection with a merger, acquisition, or sale of assets; or (iii) any third party with thirty (30) days' advance notice to you.
No Waiver
Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by the waiving party.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
Language
These Terms are drafted in English. Translations may be provided for convenience, but the English version shall prevail in case of any inconsistency or dispute regarding interpretation.
Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated herein.
Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
Electronic Communications
You consent to receive electronic communications from Pasfleet, including emails, notices posted on the Platform, and messages to your account dashboard. Electronic communications satisfy any legal requirement that communications be in writing.
Export Control
The Service may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and shall not export, re-export, or transfer the Service except in compliance with such laws.
